Party and authority

Correct legal names, affiliates, signatories, purpose, and recipient groups; do not assume a brand name is the contracting entity.

Definition and exclusions

Confidential information, markings, oral disclosure, independent development, prior possession, public information, third-party receipt, and compelled disclosure.

Use and access

Permitted purpose, representatives, need-to-know, care standard, copying, security, reverse engineering, AI/model use, cloud tools, and onward transfer.

IP and commercial terms

No implied license, residuals, feedback, inventions, improvements, standstill, non-solicit, noncompete, exclusivity, and export/regulatory provisions.

Term and remedies

Disclosure period, confidentiality survival, trade-secret duration, return/destruction, backups, injunctive relief, damages limits, governing law, venue, and fees.

Even after signature, authorize specific material and recipients through the disclosure log; do not send the entire archive.
