NDA & Controlled Technical Review

An NDA supports a defined evaluation; it is not the first step for every inquiry and not a substitute for patent, export, privacy, security, or regulatory review.

Public scopeNon-confidential structure, readiness, and inquiry routing.
Evidence languageConcept, analysis, simulation, prototype, and test remain distinct.
No implied statusNo patent, funding, clearance, partnership, or job claim without verification.
Controlled detailEnabling, restricted, personal, and privileged records remain offline.

Structure

Operating framework

The public page explains the decision structure while detailed records remain controlled offline.

01

Non-confidential first

Identify the organization, people, capability, business purpose, program of interest, requested decision, timing, and proposed relationship without revealing enabling detail.

02

Agreement fit

Choose mutual or one-way form and review definition, purpose, exclusions, compelled disclosure, residuals, term, survival, permitted recipients, return/destruction, and governing law.

03

Disclosure plan

List exact documents/revisions, disclosure level, owner, recipients, channel, watermark/marking, questions allowed, and items withheld.

04

Patent and secrecy check

Confirm that planned material is consistent with filing strategy and that trade-secret controls remain reasonable.

05

Export and access check

Screen nationality/location, organization, jurisdiction/classification, cloud/tool access, travel, and retransfer before controlled technical release.

06

Review closeout

Record feedback, copies, next decision, further disclosure authorization, return/destruction, and whether the relationship advances.

Sequence

Decision sequence

Each stage produces a reviewable record before the next commitment is made.

01 — QualifyIdentity, purpose, fit, authority, conflicts, and location.
02 — ProtectIP/disclosure strategy and NDA terms approved.
03 — PlanExact files, recipients, level, channel, and questions.
